16.2. For the purposes of sections 8 to 16, the city may designate an independent member rather than a municipal council member.
A member is independent if the city that designates the member is of the opinion that he or she qualifies as an independent director within the meaning of section 4 of the Act respecting the governance of state-owned enterprises (chapter G-1.02). Sections 5 to 8 of that Act apply, with the necessary modifications. Independent members are designated taking into account the expertise and experience profiles approved by the city concerned or, if applicable, by its urban agglomeration council.
Section 40 applies to such designations, with the necessary modifications.
